Terms of Service

Zoo Code credits are prepaid units that allow you to access our AI coding assistance services. When you purchase credits:

• All purchases are processed securely through Stripe, our third-party payment processor.
• You authorize us to charge your selected payment method for the full amount at the time of purchase.
• Prices are displayed in US Dollars (USD) and include any applicable processing fees.
• GST/Sales Tax: Applicable taxes (including Canadian GST/HST where required) will be calculated and added to your purchase at checkout. The final amount charged will include all applicable taxes based on your billing location.
• A receipt will be sent to your registered email address upon successful payment.
• Minimum purchase amount is $10 USD for live accounts and $1 USD for test accounts.

Once credits have been added to your account, they cannot be refunded, exchanged for cash, or transferred to another account. This policy applies regardless of:

• Whether the credits have been used or remain unused
• How much time has passed since the purchase
• Changes to our pricing or service offerings
• Account closure or suspension

We encourage you to start with smaller purchases to evaluate our service before committing to larger amounts.

Each credit purchase has a 12-month validity period from the date of purchase. After this period:

• Expired credits will be automatically removed from your account
• No refund or compensation will be provided for expired credits
• You will receive email notifications before your credits expire (at 30 days and 7 days before expiration)
• Credits are consumed on a First-In-First-Out (FIFO) basis, meaning older credits are used before newer ones

You can view your credit expiration dates in your account dashboard.

Credits are consumed when you make API requests through the Zoo Code extension or other authorized interfaces:

• Each AI model request consumes credits based on the model used and the number of tokens processed (input and output).
• Credit consumption rates vary by model and are displayed in your dashboard and before making requests.
• Failed requests that return an error from our servers will not consume credits.
• Requests that timeout or are cancelled after processing has begun may still consume credits proportional to any output generated.
• We reserve the right to adjust pricing and consumption rates with 30 days notice. Such changes will not affect already-purchased credits.

We reserve the right to suspend or terminate your account and forfeit any remaining credits if:

• You violate these Terms of Service or our Acceptable Use Policy
• You engage in fraudulent activity or payment disputes
• You use our services for illegal purposes or to generate harmful content
• You attempt to circumvent rate limits, abuse our systems, or resell access to our services
• Your account shows signs of unauthorized access or compromise

In cases of account suspension due to policy violations, no refund will be provided for remaining credits.

If you have a concern about a charge, please contact us at support@zoocode.dev before disputing the charge with your bank or credit card company.

• We will work with you to resolve any legitimate billing issues within 5 business days.
• Filing a chargeback or payment dispute without first contacting us may result in immediate account suspension.
• If a chargeback is filed and later found to be invalid, you will be responsible for any fees incurred and your account may be permanently banned.
• We maintain detailed records of all purchases and credit usage to assist in dispute resolution.

To the maximum extent permitted by applicable law:

• Zoo Code is provided "as is" without warranties of any kind, either express or implied.
• We do not guarantee uninterrupted or error-free service availability.
• Our total liability for any claims arising from your use of credits shall not exceed the amount you paid for the credits in question.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
• AI-generated code suggestions are provided for assistance only. You are responsible for reviewing and testing any code before use in production environments.

We may update these Terms of Service from time to time:

• Material changes will be communicated via email to your registered address at least 30 days before taking effect.
• Minor clarifications or updates may be made without prior notice.
• Continued use of our services after changes take effect constitutes acceptance of the updated terms.
• The current version of these terms is always available at this URL.

These Terms of Service are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Alberta, Canada.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
